Terms & Conditions

These Terms & Conditions govern your use of RushPe Technologies Private Limited's products, services, websites, APIs, and related support channels (collectively, the “RushPe Platform”). By accessing or using the RushPe Platform, you agree to be bound by these Terms.

1. Eligibility & Onboarding

Use of the RushPe Platform is restricted to entities and merchants who meet the eligibility criteria prescribed under NPCI and RBI guidelines for Payment System Participants, Payment Aggregators, and Third-Party App Providers. You represent that you have obtained all necessary corporate approvals, KYC documentation, and licenses to avail UPI services.

2. Account Obligations

You are responsible for safeguarding access credentials, API keys, webhooks, and VPA credentials provisioned by RushPe. Any activity undertaken using your credentials shall be considered authorised by you. Notify RushPe immediately in the event of a security incident, suspected misuse, or compromise.

3. Compliance with Laws

You shall ensure that all transactions initiated via the RushPe Platform comply with applicable laws including the Payment & Settlement Systems Act, UPI procedural guidelines, IT Act, KYC/AML norms, and any circulars issued by NPCI/RBI. Merchants must publish transparent pricing, refund, and grievance policies to end users.

4. UPI Transaction Framework

RushPe facilitates UPI transactions through partner PSP banks. RushPe does not hold customer funds. Settlements follow NPCI guidelines and partner bank arrangements. You consent to RushPe sharing transaction data with partner PSPs, NPCI, and regulators for processing, reconciliation, risk, or compliance reporting.

5. Prohibited Conduct

  • Processing restricted or illegal goods/services, including gambling, cash-to-cash transfers, virtual currencies without approval, or activities barred by NPCI/RBI.
  • Attempting to reverse engineer, tamper with, or probe RushPe systems.
  • Sub-licensing or reselling RushPe services without written consent.

6. Data Protection & Privacy

RushPe processes personal data in accordance with its Privacy Policy, DPDPA requirements, and PhonePe-inspired privacy safeguards. You must disclose lawful purposes, obtain user consent for data sharing, and implement adequate safeguards for any data exported from the RushPe Platform.

7. Fees & Settlements

Fees applicable to your usage will be set out in the merchant services agreement or onboarding documentation. RushPe reserves the right to revise pricing with 30 days' prior notice. Settlements are processed to your designated bank accounts within the timelines agreed with partner PSP banks, net of fees and applicable taxes.

8. Security & Risk Controls

RushPe implements layered security controls including encryption, secure credential storage, fraud monitoring, and dispute management workflows. You agree to cooperate with RushPe on risk reviews, dispute resolution, AML monitoring, and any regulator-mandated reporting.

9. Intellectual Property

All software, APIs, dashboards, documentation, trademarks, and content provided by RushPe are owned by RushPe or its licensors. You receive a non-exclusive, non-transferable right to use the RushPe Platform solely for your business purposes in India.

10. Disclaimer & Limitation of Liability

The RushPe Platform is provided on an "as is" basis. RushPe disclaims warranties of uninterrupted uptime or error-free performance, though we strive to provide enterprise-grade SLAs. RushPe shall not be liable for indirect, incidental, or consequential damages. Aggregate liability is limited to the fees paid by you in the preceding three (3) months.

11. Suspension & Termination

RushPe may suspend or terminate access to the RushPe Platform upon breach of these Terms, regulator directive, or suspected fraudulent activity. You may terminate services by providing 30 days' written notice and clearing outstanding dues.

12. Dispute Resolution

Any disputes shall be resolved first through mutual discussions within thirty (30) days. Failing amicable resolution, disputes shall be subject to arbitration in Bengaluru, India under the Arbitration and Conciliation Act, 1996, with proceedings in English.

13. Governing Law & Jurisdiction

These Terms are governed by laws of India. Courts at Bengaluru shall have exclusive jurisdiction, subject to arbitration provisions.

14. Changes to the Terms

RushPe may update these Terms periodically to reflect regulatory changes, product enhancements, or risk controls. Updates will be communicated via email or dashboard notifications, and continued use constitutes acceptance.

15. Contact & Grievance Redressal
